Terms of Service

This document is being prepared for Ellaword AB, a Swedish company currently being formed. It has not yet been reviewed by a lawyer and does not yet bind anyone. Passages awaiting legal review are marked in the text. If you are relying on this, contact us first.

1. Agreement

These Terms of Service govern your use of Ellaword, a Swedish language-learning app and related website and services provided by Ellaword AB, a limited company (aktiebolag) registered in Sweden ("Ellaword", "we", "us"). By creating an account or using the service, you agree to these Terms. If you do not agree, please do not use the service.

2. Eligibility

You must be at least 16 years old to use Ellaword. By using the service you confirm that you meet this requirement.

[AVUKAT — must match the age in the Privacy Policy, where the reasoning is set out: 16 is the number that holds across the EU rather than the Swedish one (13), because the app is distributed EU-wide with no per-country gating.]

3. Your account

You are responsible for keeping your account credentials confidential and for activity under your account. Tell us promptly at support@ellaword.com if you suspect unauthorised use. Please provide accurate information when you register.

4. Subscriptions and payment

Some features require a paid subscription ("Unlimited"). Subscriptions are sold and billed by Apple through its In-App Purchase system, subject to Apple's terms. Key points:

  • Payment is charged to your Apple ID at confirmation of purchase.
  • Subscriptions renew automatically unless you cancel at least 24 hours before the end of the current period.
  • You can manage or cancel a subscription in your Apple account settings; cancellation takes effect at the end of the current paid period.
  • Refunds are handled by Apple in accordance with Apple's policies.

If you are a consumer in the EU/EEA you normally have 14 days to withdraw from a distance contract. For digital content and services that begin immediately, that right ends once you have asked for performance to start and acknowledged that you lose it — which is what happens when a subscription is activated and the content is available at once.

This matters less in practice than it might sound, because the purchase is not made with us: Apple is the seller. Payment, cancellation and refunds all run through your Apple account under Apple's own terms, and a refund request goes to Apple rather than to us. Nothing here limits any statutory right you have as a consumer.

The judgement needed is how the withdrawal right is properly expressed when the seller is Apple and we are the content provider, and what we must disclose in our own name regardless.]

5. Acceptable use

You agree not to:

  • use the service for any unlawful purpose;
  • disrupt, damage, overload, or attempt to gain unauthorised access to the service;
  • reverse engineer or extract the app's source code, except where allowed by law;
  • upload content you do not have the right to use (see below).

6. Content you provide

Ellaword lets you paste or upload text (such as subtitles or other material) so the app can build word lists for you. You keep ownership of the content you provide. You represent that you have the right to use any content you upload, and you grant us a limited licence to store and process it solely to provide the service to you.

Do not upload content that infringes anyone's copyright or other rights.

Content you bring in is private to your account: it is used to build word lists for you, it is not published, and it is not shared with other users. If you believe something on Ellaword infringes your rights, write to support@ellaword.com identifying the work, where it appears, and your contact details. We will review the report and remove or disable access to the material where the report is justified, and we will tell the user who provided it, who may respond. Accounts that repeatedly infringe may be suspended.

[AVUKAT — the private-to-the-account point is factual and is what makes this different from a hosting platform: nothing a user brings in is made available to anyone else. The judgement needed is our liability position for user-provided content on that basis, whether the e-commerce / DSA intermediary provisions apply to us at all, and what a takedown procedure must contain under Swedish law.]

7. Intellectual property

The Ellaword app, website, design, and content (other than content you provide and third-party data below) are owned by us or our licensors and are protected by intellectual property laws.

8. Third-party services

The service relies on third parties (including Apple for purchases and payment). Your use of those services is also subject to their own terms, and we are not responsible for them.

9. Disclaimers

Ellaword is provided "as is" and "as available", without warranties of any kind to the extent permitted by law. We do not guarantee that the service will be uninterrupted, error-free, or that it will produce any particular learning outcome. Nothing in these Terms limits rights you have under mandatory consumer law.

10. Limitation of liability

Ellaword is a learning tool, provided as it is. We do not promise that it will be uninterrupted or error-free, that the dictionary or generated word lists will be free of mistakes, or that using it will produce any particular result.

To the extent the law allows, we are not liable for indirect or consequential loss, for lost data where you have not kept your own copy, or for the acts of the third parties named in our Privacy Policy. Nothing in these Terms limits liability that cannot be limited — including liability for death or personal injury caused by negligence, for intent or gross negligence, and any mandatory rights you have as a consumer.

11. Termination

You may stop using the service and delete your account at any time from within the app. We may suspend or terminate accounts that violate these Terms or that we reasonably believe harm other users, us, or third parties. When you delete your account, your data is handled as described in our Privacy Policy.

12. Governing law and disputes

These Terms are governed by Swedish law, and disputes are heard by the Swedish courts.

If you are a consumer, that does not take anything away from you: you keep the protection of the mandatory consumer law of the country you live in, and you may bring proceedings there. You can also take a complaint to the Swedish National Board for Consumer Disputes (ARN) or, if you live elsewhere in the EU, to your national equivalent.

[AVUKAT — Swedish law and Swedish courts follow from Ellaword AB being established in Sweden, and the consumer carve-out is drafted deliberately because a plain choice-of-forum clause does not displace Brussels I recast Art. 18 or Rome I Art. 6. Confirm the wording, and whether ARN and the EU ODR platform must be named explicitly.]

13. Changes to these Terms

We may update these Terms from time to time. We will post the updated version on this page and change the "Last updated" date above. Continued use after changes take effect means you accept the updated Terms.
